1. Introduction

These Terms and Conditions ("Terms") govern your use of services provided by Xenova Trading International Inc ("Company", "we", "us", or "our"). By purchasing products or services from us, you agree to be bound by these Terms.

2. Product Information

All industrial building materials are described with technical specifications to the best of our ability. However, we reserve the right to modify product specifications without prior notice. All products are subject to availability.

3. Pricing and Payment Terms

All prices are quoted in US Dollars (USD) unless otherwise specified. Payment terms are Net 30 days from the date of invoice for approved credit accounts. For new customers, prepayment or letter of credit may be required.

• Bulk orders over $100,000 may qualify for volume discounts
• Late payment fees of 1.5% per month apply to overdue accounts
• We reserve the right to modify pricing based on market conditions

4. Order and Delivery

All orders are subject to acceptance by the Company. We will provide estimated delivery times at the time of order confirmation. Delivery schedules are estimates only and not guaranteed.

• Standard delivery: 4-8 weeks for international orders
• Express delivery available at additional cost
• Customer is responsible for customs clearance and import duties
• Risk of loss passes to buyer upon delivery to carrier

5. Quality Assurance and Warranties

All materials come with manufacturer warranties and ISO certifications. We guarantee that all products meet specified technical standards at the time of shipment.

• Materials are warranted against manufacturing defects for 12 months
• Inspection must be completed within 7 days of delivery
• Claims for damaged or defective materials must be reported immediately

6. Returns and Refunds

Due to the specialized nature of industrial building materials, returns are accepted only for defective products or shipping errors. Custom orders and cut materials are non-returnable.

• Return authorization must be obtained within 7 days of receipt
• Returned materials must be in original packaging and unused condition
• Restocking fee of 20% applies to approved returns
• Customer bears return shipping costs unless product is defective

7. Limitation of Liability

The Company's liability is limited to the purchase price of the products. We are not liable for indirect, incidental, or consequential damages, including construction delays, lost profits, or project costs.

8. Technical Specifications

Buyers are responsible for verifying that ordered materials meet project requirements. We provide technical consultation services but final product selection remains the buyer's responsibility.

9. Incoterms

Unless otherwise specified, all sales are conducted under Incoterms 2020. Default terms are EXW (Ex Works) for domestic sales and FOB (Free on Board) for international shipments.

10. Force Majeure

We shall not be liable for delays or failures in performance resulting from acts beyond our reasonable control, including natural disasters, war, strikes, government actions, or material shortages.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Wyoming, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Wyoming.
